OFFICIAL RULES

I. NAME OF SPONSOR

Radio Disney, a division of ABC Radio Networks Assets, LLC (Hereinafter referred to as "Sponsor")., P.O. Box 802626, Dallas, TX 75380, whose decisions are final and binding as to all aspects of this sweepstakes ("Sweepstakes").

II. ELIGIBILITY

The Sweepstakes is open to anyone 16 years of age or younger who is a legal resident of, and physically located within, the 50 United States or D.C., except Maine ("Territory").

Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Sponsor, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes or supplying the prize, and their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or play. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year.

III. HOW AND WHEN TO ENTER

NO PURCHASE NECESSARY.

On-line Entry: During the period commencing at 3:00:00 A.M., November 21, 2009, and ending at 3:00:00 P.M., November 29, 2009 ("Term"), the Sweepstakes may only be entered On-line by a registered Disney.com guest ("Member"). For purposes of these Official Rules ("Rules"), all times are Pacific Standard Time and "Day" shall mean the period commencing at 3:00:00 A.M. of one day and ending at 2:59:59 A.M. of the next day, except that the last Day shall be 3:00:00 A.M. to 3:00:00 P.M., November 29, 2009. If you are not already a Member, you may easily register to become a Member for free through the link on the site: "Register" by filling out the simple Registration Form. The Code Word of the Day ("Word") will be announced on Radio Disney at various times throughout each Day. A Member may enter by going directly to www.RadioDisney.com/Win ("Website"), clicking on the "Listen for a Chance to Win" Link, entering the Word and clicking on the "enter" button. If you have entered the correct Word, you will be asked to Log In with the Member Name and Password that was set up when you registered. Once you have logged in, a Word submission of the correct Word will result in one (1) On-line Entry to be entered into the Sweepstakes to win the Grand Prize. Your parent/legal guardian ("Parent") will be sent an initial e-mail notification advising Parent that his/her child has registered at RadioDisney.com for entry into a Radio Disney Sweepstakes, asking Parent to verify this entry by clicking on a link in the e-mail, validating child's entry as described in the e-mail and providing a phone number where the Parent can be reached if his/her child is chosen as a potential winner. After the validation process, the child will automatically be able to enter subsequent Radio Disney Sweepstakes by entering the correct Word and logging in up to once every day during a particular Sweepstakes period. If the Parent doesn't validate the child's registration and On-line Entry, the Entry will be denied. Normal internet access and usage charges imposed by your online service will apply. It is your sole responsibility to notify Sponsor if you or your Parent change e-mail address ("Address"). To do so, go to http://register.go.com/disney/GuestServices/YourAccount/login, log into your Membership Account, click on the "Modify" icon and follow the instructions on how to change the Address.

On-air Entry: During the Term, pursuant to official contest rules ("Radio Rules"), Radio Disney will periodically conduct games of skill ("Contests") in which the winning contestants ("Contest Winners") are chosen via games that the on-air talent plays with listeners that call in. A contestant must accomplish the following elements to become a Contest Winner: [1] call in on the 1-877-870-5678 toll free line ("Phone"); [2] elicit an answer on the Phone; [3] receive an invitation to participate in a Contest on the Phone and [4] win a Contest prize. All Contest prizes and Winners will be announced on-air. Each Call-In Contest Winner, excluding winners between the hours of 9:00:00 A.M. and 10:00:00 A.M. Pacific Daylight Time Monday-Friday, will automatically have one hundred (100) entries ("Super Entry") in their name entered in the Sweepstakes. Only calls to the Phone can win. From time to time, Radio Disney will broadcast summaries of the Radio Rules and announce that copies of the Radio Rules are available by writing to: Radio Disney Rules, at Radio Disney, P.O. Box 802626, Dallas, TX 75380, or via the Website.

SMS Text Entry: You may enter this Sweepstakes, by sending on your cell phone ("Cell") the Code Word "XXXXX" as an SMS text message to the SMS shortcode 347639 (Disney) ("SMS Entry") during the Entry Period. Standard carrier-messaging charges may apply to each text message sent and received. SMS Entrants will receive a confirmation SMS text message on their Cell. All Cell entrants must have a text messaging two-way capable phone and digital and SMS service in order to enter the Sweepstakes using the text messaging method. Text messaging may not be available in all areas. You must have your Parent's permission to enter via SMS Text Entry. By entering via SMS Text Entry you grant to Sponsor /Administrator your consent to call your Cell should you be selected a potential winner.

Entries remain the property of the Sponsor and will not be returned or acknowledged.

All Entries must be received or credited by 3:00:00 P.M., November 29, 2009.

Regardless of method of Entry and whether one person has more than one Address / Cell Phone Number or more than one person use the same Address / Cell Phone Number, only one (1) On-line Entry per person per Day is permitted (a maximum of nine (9) entries per entrant during the Term); only one (1) SMS Text Entry per person per Day is permitted (a maximum of nine (9) entries per entrant during the Term); and only one (1) On-air Super Entry (equal to 100 entries) per person per Day is permitted (a maximum of nine hundred (900) entries per entrant during the Term). However, only one method of Entry is permitted each Day.

Only calls to the specified phone number can win. Sponsor is not responsible for inability of caller to complete call within specified time, whether due to busy lines, disconnections, telephone malfunctions or other circumstances.

Sponsor is not responsible for failed, partial or garbled computer transmissions or text messages, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. No responsibility is assumed for: any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, providers, computer equipment, or software; or failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to entrant's or any other person's computer related to or resulting from participation in or downloading any materials from this Sweepstakes. In the event of a dispute over an electronic entry, prize will be awarded to the owner of the e-mail account or cell phone number, not the name on the entry form.

IV. HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED

On or about November 30, 2009, one (1) Grand Prize Winner ("Winner") will be selected at random from all eligible Entries received.

Winner must meet all eligibility requirements. In the event Winner is deemed ineligible, or is not available to claim prize during specified dates, then an alternate winner will be selected at random from eligible entries received, time permitting.

The Winner will be notified by phone on or about November 30, 2009; and will receive an Affidavit of eligibility/compliance with Rules, publicity/liability release and indemnification via mail within five (5) days of phone notification. All legal responsibilities of a minor under the Rules will be assumed by a Parent. Winner will be required to provide satisfactory proof to Sponsor of his/her age, identity and residency. Response to mail notification must be received by Sponsor within seven (7) business days or the prize will be forfeited and may be awarded to an alternate winner, time permitting.

Any person who has won a Grand Prize from Sponsor within six months of entry is not eligible to enter or play.

Odds of winning depend on the total number of eligible Sweepstakes entries received. Many will enter; only one (1) will win.

V. PRIZE(S)

ONE (1) GRAND PRIZE: The winner of the Sweepstakes ("Winner") will receive the ultimate holiday shopping spree ("Shopping Spree") with two (2) of their best friends ("Buddies") consisting of the following elements: [1] one (1) $2,000 gift card for the Winner; [2] one (1) $500 gift card for each of the two (2) Buddies; [3] round trip limousine transfers between the Winners residence and a Sponsor selected store in the Winners hometown; and [4] $1,000 worth of toys donated to a local children's charity in the Winner's city. There are no other prizes. All expenses not specifically mentioned herein are not included and are solely the Winner's responsibility. Approximate retail value of Grand Prize package: $4,500. The prize will be awarded provided it is validly claimed by December 12, 2009 after which an alternate Winner may be selected, time permitting.

Approximate retail value ("ARV") of Grand Prize is $4,500.

All expenses not specifically provided for herein are the winner's sole responsibility. Some restrictions may apply.

Federal, state and local taxes, if any, are the sole responsibility of the winner, who will receive an IRS Form 1099 reflecting the final actual value of any prize valued at $600 or more.

Winners are not entitled to exchange or transfer prizes or to obtain cash or other substitutes, but Sponsor in its sole discretion may substitute prizes of equal or greater value.

If won by a minor, prize will be awarded in parent's or guardian's name.

Prize is subject to availability. Sponsor is not responsible for the cancellation or preemption of the Awards Show, the unavailability of the Talent Meet And Greet, or for other circumstances that make it impractical or impossible to fulfill these elements of the prize. These elements have no specific retail value and If it becomes impractical or impossible to fulfill these elements, Sponsor's only obligation will be to provide the remainder, if any, of the prize.

VI. RELEASES

By participating, entrants agree to be bound by these official rules and the decisions of the Sponsor and the Sweepstakes administrator, which shall be final in all respects.

By participating in this Sweepstakes and/or accepting any prize that they may win, entrants agree to release Radio Disney, a division of ABC Radio Networks Assets, LLC, their parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes and/or acceptance or use of the prize.

Entrants authorize the Released Parties to use their name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, in any media now known or hereafter created or conceived, worldwide in perpetuity, or on a winner's list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor's sole discretion, without further obligation or compensation.

To claim prize, winner and/or winner's parent or guardian must: (a) provide proof of winner's age, residency, and legal status; (b) sign and return eligibility, publicity, liability and any other releases requested by Sponsor; and (c) have winner's intended guest(s), if any, sign and return releases requested by Sponsor; all within the time period(s) specified by Sponsor.

VII. MISCELLANEOUS; WINNERS' LIST

Void where prohibited. All federal, state and local laws and regulations apply.

Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the contest in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the contest as originally planned.
